1) Definitions and scope of application

(1) The following terms and conditions (hereinafter referred to as GTC) apply to all contracts between Elena Theis | ANASHA, Siemensstr. 11, 10551 Berlin, kontakt(at)anasha.de , Tel: 030-23969594 - hereinafter referred to as ANASHA - and the customer.

(2) The customer is both a consumer in accordance with Section 13 of the German Civil Code (BGB) if the purpose of the booking or the ordered goods and services cannot be attributed to his commercial or independent professional activity (B2C), and an entrepreneur in accordance with Section 14 BGB, a legal entity under public law or a special fund under public law (B2B) if the customer is acting in the exercise of his commercial or independent professional activity when concluding the contract.

(3) Deviating general terms and conditions of customers (entrepreneurs) are hereby expressly rejected. Deviating, conflicting or supplementary GTC shall not become part of the contract, even if known, unless their validity is expressly agreed. 

(4) Individual agreements between ANASHA and the customer shall take precedence over these GTC in the area of the individually agreed contractual terms (see § 305 BGB) and shall then be supplemented by these GTC. Individual agreements require confirmation by the contractor in text form to be effective.

2 ) Subject matter of the contract

The subject matter of the contract is participation in the events offered on the ANASHA website at https://www.anasha.de/ in particular language courses, seminars or workshops. The courses take place online. The courses are either offered in a live stream or in the media library for the customer to access. In addition, ANASHA sells books and audio books that can be purchased on the ANASHA website.

3) Conclusion of contract

(2)  The purchase contract for books and audio books is concluded when the customer places a selected product in the virtual shopping cart and completes the payment process and then receives an express order confirmation from ANASHA and a link to play the audio book by e-mail or an access code for the audio library. Here too, the confirmation of receipt of an order does not constitute acceptance of the offer and therefore does not constitute the conclusion of a contract.

4) Participation in courses

(1) Participation in the booked courses takes place either online in the live stream or the customer receives a link to a video or an access code to video content in the media library, which they can play as they wish. Videos in the media library are available on the ANASHA website. To take part in the courses, registration on the website www.anasha.de is required.

(2) Only one registration per person may be maintained at any one time. Only the customer who has booked the course is authorized to access the course content. The customer is obliged to keep his access data secret and not to pass it on to third parties. The transfer of the possibility to use the registration and/or a chargeable course or course package to third parties, even together with the paying customer, requires the express permission of ANASHA. In case of violations, ANASHA reserves the right to claim damages and to exclude the customer from further participation.

(3) The customer must ensure that the technical requirements for participation in the online courses are met. He has to provide a functioning internet connection and, if necessary, hardware and software. If the customer cannot participate in a course due to a lack of technical requirements, ANASHA cannot be held liable.

(4) ANASHA is not liable for failures due to necessary maintenance work, due to force majeure, technical malfunctions of the Internet or for other reasons for which ANASHA is not responsible.

(5) ANASHA does not undertake to back up data for the customer and does not assume any contractual assurances, guarantees or warranties beyond the statutory provisions, unless otherwise agreed in writing in individual cases.

5) Copyright

The customer is obliged to observe the existing legal copyrights and other rights to the content of the booked courses and other content in the offer of ANASHA. The duplication, distribution or making available to the public as well as the removal of technical protection measures or copyright or rights notices is not permitted, unless this is expressly permitted by ANASHA.

6) Membership, contract term, termination

(1) Courses, seminars or workshops are booked for the term selected at the time of booking. These can be terminated at any time, but the agreed price is due despite termination and must be paid in full by the customer. Memberships are agreed for the minimum term specified at the time of booking. Memberships can be terminated at any time. Once the initial term of a membership has expired, the term is extended by the agreed minimum term unless the membership has been terminated.

(2) Any termination must be in text form to be effective. The customer can also cancel his membership via his customer portal.

(3) The statutory right of both contracting parties to extraordinary termination for good cause exists and remains unaffected.

(4) As part of a membership, ANASHA grants its customers a suspension of membership in the event of illness, vacation or other unusual events. This is possible from an absence of more than two weeks and at most twice a year. The suspension of membership takes place upon request.

(5) In the event of force majeure, in particular official orders or actions, strikes, lockouts and similar events that are outside the sphere of influence of the affected party, the latter shall be released from its performance obligations under the contract, its annexes and these GTC for the duration and to the extent of the event.

7) Prices, terms of payment

(1) The prices stated on the booking platform or in the booking confirmation are final prices. The prices quoted include the value added tax applicable at the time the contract is concluded.

(2) ANASHA is authorized to transmit electronic invoices.

(3) The agreed fee is due upon conclusion of the contract, unless otherwise agreed between the contracting parties. If monthly payment of amounts has been agreed, payment shall be due on the agreed date or time. If the agreed payment date is a Sunday or a public holiday, payment is due on the next working day. If payment is not made on the agreed date, the customer shall be in default on the day following the agreed date.

(4) Payment shall be made using the payment methods offered at the time of booking.

(5) The customer is only entitled to declare a set-off and to assert a right of retention if his counterclaim against ANASHA is legally established, undisputed or recognized. The customer only has a right of retention if and insofar as his counterclaim is based on the same contractual relationship.

(6) If the customer does not fulfill a due payment obligation to ANASHA without justification, ANASHA is entitled, after prior warning and without prejudice to further legal and contractual rights, to make use of the statutory right of retention until the owed payment has been received. The contract term remains unaffected in this case.

(7) In accordance with the statutory provisions, the customer must compensate ANASHA for the damages and necessary expenses (e.g. return debit note costs) incurred by the customer due to non-payment or late payment by the customer or other disruptions to payment by the customer (e.g. lack of account coverage for direct debit mandates), unless the customer is not responsible for this.

(8) Interest on arrears shall be charged at 5% p.a. for consumers or 9% p.a. for entrepreneurs above the base interest rate announced by the Deutsche Bundesbank.

8) Cancellation

(1) For the booked courses, seminars and workshops, ANASHA grants its customers a right to cancel in addition to the right of withdrawal, unless the customer has expressly waived his right of withdrawal. Live courses, seminars or workshops with a specific date can be canceled free of charge up to four weeks in advance, provided that no payment has yet been received. If the fee has already been paid and the cancellation therefore results in a refund, a processing fee of EUR 5 will be charged.

(2) Cancellations made between 13 days and one day before the start of the course are subject to a cancellation fee of 20% of the course fee. Cancellations on the day of the course and no-shows are subject to the full course fee.

(3) Self-study courses with prepared learning content cannot be canceled.

(4) The customer is permitted to prove that ANASHA has incurred no or less damage than the lump sum claimed. In this case, the customer must pay less than the proven damages or no damages at all. 

9) Warranty

Properties are only considered guaranteed if they are expressly designated as guaranteed by ANASHA in writing. ANASHA does not guarantee that the objectives desired by the customer by participating in the courses will be achieved.

10) Liability

(1) ANASHA is liable in cases of intent or gross negligence for its own conduct or that of a representative or vicarious agent as well as in the event of culpable injury to life, limb or health in accordance with the statutory provisions. In the event of injury to life, limb or health, in the event of damage that is subject to the Product Liability Act, in the event of damage resulting from the breach of a cardinal obligation (cardinal obligations are obligations whose fulfillment is essential for the proper execution of the contract and on whose compliance the contractual partner may regularly rely), in the event of breach of quality agreements and fraudulent concealment, ANASHA is also liable for slight negligence and thus for any fault without limitation, including that of its representatives or vicarious agents. However, in cases of gross negligence, the liability of ANASHA is limited to the foreseeable damage typical for the contract, unless another of the exceptional cases listed in sentence 1 or sentence 2 of this paragraph (1) exists at the same time. However, the claim for damages for the breach of essential contractual obligations is limited to the foreseeable damage typical for the contract, unless another of the exceptional cases listed in sentence 1 or sentence 2 of this paragraph (1) exists at the same time.

(2) The provisions of the above paragraph (1) shall apply to all cases, irrespective of the legal grounds, in particular due to the breach of duties arising from the contractual obligation or from tort. They also apply to claims for compensation for futile expenses.

(3) A change in the burden of proof to the detriment of the customer is not associated with the above provisions.

11) Data protection

(1) ANASHA undertakes to treat the customer's data collected in the course of processing contracts confidentially in compliance with data protection regulations (in particular the Federal Data Protection Act, Telemedia Act). 

(2) In addition, with regard to customer consent relevant under data protection law and further information on data collection, processing and use, reference is made to the data protection declaration, which can be accessed in printable form at any time on the ANASHA website via the "Data protection declaration" button.

12) Final provisions, place of jurisdiction

(1) Should individual provisions of the GTC be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions.

(2) If the customer is an entrepreneur, merchant, legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship is the registered office of ANASHA in Berlin. However, ANASHA is also entitled, at its discretion, to sue at the customer's (entrepreneur's) place of business.

(3) German law shall apply without the conflict of law rules of private international law and to the exclusion of the UN Convention on Contracts for the International Sale of Goods. According to Art. 6 para. 2 of the Rome I Regulation, this does not affect the mandatory provisions of the law of the state of habitual residence of the customer who is a consumer and has his habitual residence in an EU state or in a state of the European Economic Area (EEA) ("state of residence") if the user a) carries out his professional or commercial activity in the state of residence or b) directs such activity in any way to this state of residence or to several states, including this state of residence.

13) Right of withdrawal

(1) Right of withdrawal for consumers

As a consumer, you have the right to withdraw from a distance contract, i.e. by e-mail, Internet, fax or telephone, within fourteen days without giving reasons. The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform us (ANASHA) of your decision to withdraw from the contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail). You can use the attached sample withdrawal form, but this is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your notification of exercising your right of withdrawal before the withdrawal period has expired.

(2) Consequences of revocation

If you withdraw from the contract, we shall reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this repayment.

If you have requested that the services should commence during the withdrawal period, this applies to the use of a link or an access code to content on the website of ANASHA, whether media or audio content, you must pay us a reasonable amount corresponding to the proportion of the services already provided up to the time at which you inform us of the exercise of the right of withdrawal with regard to this contract compared to the total scope of the services provided for in the contract.



AGB / Allgemeine Geschäftsbedingungen

1) Begriffsbestimmungen und Anwendungsbereich

(1) Die nachstehenden Geschäftsbedingungen (nachfolgend AGB) gelten für alle Verträge zwischen Elena Theis | ANASHA, Siemensstr. 11, 10551 Berlin, kontakt(at)anasha.de , Tel: 030-23969594, – nachfolgend ANASHA genannt – und dem Kunden.

3) Vertragsschluss

(1) Der Kunde bucht über die Buchungsplattform https://www.anasha.de/ die dort von ANASHA angebotenen Kurse. Der Kunde wählt zwischen einem Einzelkurs, einem Kurs, bestehend aus mehreren Terminen oder einer Mitgliedschaft. Die Angebote auf der Plattform stellen ein invitatio ad offerendum dar. Der Kunde gibt mit der Buchung für einen Kurs ein Angebot zum Abschluss eines Vertrages ab. Mit der ausdrücklichen Bestätigung der Buchung durch ANASHA kommt der Vertrag zustande. Die Bestätigung des Empfangs einer Buchung gilt noch nicht als Angebotsannahme und damit nicht als Vertragsschluss.

(2) Der Kaufvertrag über Bücher und Hörbücher kommt zustande, indem der Kunde ein ausgewähltes Produkt in den virtuellen Warenkorb legt und den Bezahlvorgang abschließt und er daraufhin von ANASHA eine ausdrückliche Bestellbestätigung und einen Link zum Abspielen des Hörbuchs per E-Mail oder einen Zugangscode für die Audiothek erhält. Auch hier ist die Bestätigung des Empfangs einer Bestellung keine Annahme des Angebots und somit kein Vertragsschluss.

4) Teilnahme an Kursen

(1) Die Teilnahme an den gebuchten Kursen erfolgt entweder online im Live-Stream oder der Kunde erhält einen Link zu einem Video bzw. einen Zugangscode zu Videoinhalten in der Mediathek, den er beliebig abspielen kann. Videos in der Mediathek sind auf der Webseite von ANASHA abrufbar. Um an den Kursen teilzunehmen, ist eine Registrierung auf der Webseite https://www.anasha.de/ erforderlich.

(2) Pro Person darf nur eine Registrierung gleichzeitig unterhalten werden. Nur der Kunde, der den Kurs gebucht hat, ist befugt, den Kursinhalt abzurufen. Der Kunde ist verpflichtet, seine Zugangsdaten geheim zu halten und nicht an Dritte weiterzugeben. Die Überlassung der Nutzungsmöglichkeit der Registrierung und/oder eines kostenpflichtigen Kurses oder Kurspakets an Dritte, auch in Gemeinschaft mit dem zahlenden Kunden, bedarf der ausdrücklichen Genehmigung von ANASHA. Bei Verstößen behält sich ANASHA vor, Schadensersatz geltend zu machen und den Kunden von der weiteren Teilnahme auszuschließen.

(3) Der Kunde hat für die technischen Anforderungen zur Teilnahme an den online stattfindenden Kursen zu sorgen. Er hat für eine funktionierende Internetverbindung sowie bei Bedarf für eine Hard- und Software zu sorgen. Sofern der Kunde aufgrund fehlender technischer Anforderungen nicht an einem Kurs teilnehmen kann, kann ANASHA nicht deswegen zur Haftung gezogen werden.

(4) ANASHA haftet nicht für Ausfälle wegen notwendiger Wartungsarbeiten, aufgrund von höherer Gewalt, von technischen Störungen des Internets oder aus sonstigen nicht von ANASHA zu vertretenden Gründen.

(5) ANASHA does not undertake to back up data for the customer and does not assume any contractual assurances, guarantees or warranties beyond the statutory provisions, unless otherwise agreed in writing in individual cases.

5) Urheberrecht

The customer is obliged to observe the existing legal copyrights and other rights to the content of the booked courses and other content in the offer of ANASHA. The duplication, distribution or making available to the public as well as the removal of technical protection measures or copyright or rights notices is not permitted, unless this is expressly permitted by ANASHA.

6) Mitgliedschaft, Vertragslaufzeit, Kündigung

(1) Kurse, Seminare oder Workshops werden jeweils für die bei der Buchung gewählte Laufzeit gebucht. Diese können jederzeit gekündigt werden, der vereinbarte Preis ist allerdings trotz Kündigung fällig und von dem Kunden in voller Höhe zu zahlen. Mitgliedschaften werden jeweils für die bei der Buchung angegebene Mindestlaufzeit vereinbart. Mitgliedschaften können jederzeit gekündigt werden. Nach Ablauf der Erstlaufzeit einer Mitgliedschaft verlängert sich die Laufzeit um die vereinbarte Mindestlaufzeit, sofern die Mitgliedschaft nicht gekündigt wurde.

(4) Im Rahmen einer Mitgliedschaft räumt ANASHA seinen Kunden ein Ruhen der Mitgliedschaft bei Krankheit, Urlaub oder anderen ungewöhnlichen Ereignissen ein. Dies ist ab einer Abwesenheit von mehr als zwei Wochen am Stück und höchstens zwei Mal im Jahr möglich. Das Ruhen der Mitgliedschaft erfolgt auf Anfrage und die Anfrage muss vor der geplanten Abwesenheit erfolgen. Ein rückwirkendes Ruhen der Mitgliedschaft ist nicht möglich.

7) Preise, Zahlungsbedingungen

(1) Die auf der Buchungsplattform oder in der Buchungsbestätigung genannten Preise sind Endpreise. Die Preisangebote verstehen sich inklusive der zum Zeitpunkt des Vertragsabschlusses gültigen Mehrwertsteuer.

(2) ANASHA is authorized to transmit electronic invoices.

(3) Das vereinbarte Entgelt ist mit Vertragsschluss fällig, sofern zwischen den Vertragsparteien nicht etwas anderes vereinbart wurde. Sofern eine monatliche Zahlung von Beträgen vereinbart wurde, ist die Zahlung zum vereinbarten Tag oder Zeitpunkt fällig. Ist der vereinbarte Zahlungstermin ein Sonntag oder ein Feiertag, dann ist die Zahlung zum nächsten Werktag fällig. Bleibt die Zahlung zum vereinbarten Termin aus, dann gerät der Kunde mit dem auf den vereinbarten Tag folgenden Tag in Verzug.

(6) Erfüllt der Kunde eine fällige Zahlungsverpflichtung gegenüber ANASHA unberechtigt nicht, so ist ANASHA nach vorheriger Abmahnung und unbeschadet weiterer gesetzlicher und vertraglicher Rechte berechtigt, von dem gesetzlichen Zurückbehaltungsrecht Gebrauch zu machen, bis die geschuldete Zahlung eingegangen ist. Die Vertragslaufzeit bleibt in diesem Fall unberührt.

(7) Der Kunde hat ANASHA nach den gesetzlichen Bestimmungen die Schäden und erforderlichen Aufwendungen (z.B. Rücklastschriftkosten) zu ersetzen, die ihm durch die Nicht- oder verspätete Zahlung des Kunden oder sonstige Störungen der Bezahlung durch den Kunden (z.B. pflichtwidrig fehlende Kontodeckung bei Lastschriftmandat) entstehen, es sei denn der Kunden hat diese nicht zu vertreten.

(3) Kurse mit vorbereiteten Lerninhalten, die im Selbststudium erfolgen, sind nicht stornierbar.

(4) Dem Kunden ist der Nachweis gestattet, dass ANASHA gar kein oder ein geringerer Schaden als der pauschal geltend gemachte, entstanden ist. 

Dann hat der Kunde einen geringeren als den nachweislich ermittelten oder gar keinen Schadensersatz zu zahlen. 

9) Gewährleistung

10) Haftung

(1) ANASHA haftet in Fällen des Vorsatzes oder der groben Fahrlässigkeit für eigenes Verhalten oder eines Vertreters oder Erfüllungsgehilfen sowie bei einer schuldhaft verursachten Verletzung des Lebens, des Körpers oder der Gesundheit nach den gesetzlichen Bestimmungen. Bei Verletzung des Lebens, des Körpers oder der Gesundheit, bei Schäden, die dem Produkthaftungsgesetz unterfallen, bei Schäden aus der Verletzung einer Kardinalpflicht (Kardinalpflichten sind Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf), bei Verletzung von Beschaffenheitsvereinbarungen sowie arglistigem Verschweigen haftet ANASHA auch für leichte Fahrlässigkeit und damit für jedes Verschulden unbeschränkt, auch das seiner Vertreter oder Erfüllungsgehilfen. Die Haftung von ANASHA ist in Fällen grober Fahrlässigkeit jedoch auf den vertragstypischen, vorhersehbaren Schaden begrenzt, soweit nicht zugleich ein anderer der in S. 1 oder S. 2 dieses Abs. (1) aufgeführten Ausnahmefälle vorliegt. Der Schadensersatzanspruch für die Verletzung wesentlicher Vertragspflichten ist jedoch auf den vertragstypischen, vorhersehbaren Schaden begrenzt, wenn nicht zugleich ein anderer der in S. 1 oder S. 2 dieses Abs. (1) aufgeführten Ausnahmefälle vorliegt.

(2) Die Regelungen des vorstehenden Abs. (1) gelten für alle Fälle und zwar gleich aus welchem Rechtsgrund, insbesondere wegen der Verletzung von Pflichten aus dem Schuldverhältnis oder aus unerlaubter Handlung. Sie gelten auch für den Anspruch auf Ersatz vergeblicher Aufwendungen.

11) Datenschutz

(1) ANASHA verpflichtet sich, die im Rahmen der Abwicklung von Verträgen erhobenen Daten des Kunden unter Beachtung der datenschutzrechtlichen Bestimmungen (insbesondere Bundesdatenschutzgesetz, Telemediengesetz) vertraulich zu behandeln.

12) Schlussbestimmungen, Gerichtsstand

(2) If the customer is an entrepreneur, merchant, legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship is the registered office of ANASHA in Berlin. However, ANASHA is also entitled, at its discretion, to sue at the customer's (entrepreneur's) place of business.

(3) Es gilt deutsches Recht ohne die Verweisungsnormen des Internationalen Privatrechts und unter Ausschluss des UN-Kaufrechts. Nach Art. 6 Abs. 2 der Rom I-Verordnung werden hierdurch die zwingenden Vorschriften des Rechts im Staat des gewöhnlichen Aufenthalts des Kunden, der Verbraucher ist und seinen gewöhnlichen Aufenthalt in einem EU-Staat oder in einem Staat des Europäischen Wirtschaftsraums (EWR) hat („Aufenthaltsstaat“), nicht berührt, wenn der Verwender a) seine berufliche oder gewerbliche Tätigkeit in dem Aufenthaltsstaat ausübt oder b) eine solche Tätigkeit auf irgendeiner Weise auf diesen Aufenthaltsstaat oder auf mehrere Staaten, einschließlich dieses Aufenthaltsstaats, ausrichtet.

13) Widerrufsrecht

(1) Widerrufsrecht für Verbraucher

As a consumer, you have the right to withdraw from a distance contract, i.e. by e-mail, Internet, fax or telephone, within fourteen days without giving reasons. The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform us (ANASHA) of your decision to withdraw from the contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail). You can use the attached sample withdrawal form, but this is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your notification of exercising your right of withdrawal before the withdrawal period has expired.

(2) Folgen des Widerrufs

If you withdraw from the contract, we shall reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this repayment.
